1. Acceptance and Relationship to Other Agreements

These Sales Rep / CSR Portal Terms govern use of any RoofHyve sales representative, customer success representative, referral, onboarding, or related portal functionality. By accessing the portal, sending referral invitations, viewing assigned roofing companies, reviewing onboarding status, or accessing commission/revenue information, you agree to these Terms and the RoofHyve Terms of Service, Acceptable Use Policy, Privacy Policy, and any separate employment, contractor, referral, commission, or sales agreement that applies to you.

If a separate signed agreement between you and RoofHyve conflicts with these Terms, the signed agreement controls for that conflict.

2. Authorized Access Only

Portal access is limited to authorized users. You may access only information, roofing companies, referrals, customer records, revenue data, commission records, support tickets, or onboarding activity made available to you through assigned roles and permissions. You may not share credentials, bypass access controls, access another person’s account, scrape data, or use portal information for unauthorized purposes.

3. Sales Rep / CSR Portal Functionality

Depending on your role and permissions, the portal may allow you to view assigned roofing companies, send referral invitations, track referral invite status, view onboarding progress, view subscription or revenue information for assigned accounts, view commission-related records, communicate with invited roofers, and support customer success activities.

Referral invite statuses may include Invite Sent, Registration Started, Onboarding Completed, Failed, Expired, and Duplicate. Status information is provided for operational visibility and may depend on email delivery, tracking availability, user action, system logs, and third-party email/SMS services. Status indicators are not a guarantee of actual receipt, legal notice, contractual acceptance, or commission entitlement.

4. No Authority to Bind RoofHyve or Roofing Companies

Unless RoofHyve gives you written authority, you may not bind RoofHyve, approve discounts, modify pricing, promise commissions, guarantee onboarding approval, amend customer agreements, provide legal or financial advice, represent that RoofHyve verifies or endorses a roofer, or make commitments on behalf of any roofing company. All sales statements must be accurate, approved, and consistent with current RoofHyve materials.

5. Commission and Revenue Information

Commission percentages, revenue information, assigned roofer activity, subscription status, and related metrics displayed in the portal are informational and may be subject to review, adjustment, dispute, clawback, refund, cancellation, non-payment, duplicate assignment resolution, or the terms of a separate commission or referral agreement. Portal visibility alone does not create a commission right unless the applicable commission/referral agreement confirms that right.

RoofHyve may correct errors in assignment, revenue, commission calculations, subscription status, referral status, or reporting. You are responsible for reviewing records and promptly reporting suspected errors through the designated support or commission-dispute channel.

6. Referrals, Invitations, and Contact Information

You must send referral invitations only to legitimate roofing companies, authorized representatives, or contacts you are permitted to contact. You must not send spam, misleading invitations, unlawful marketing messages, or invitations to contacts obtained unlawfully. You are responsible for entering accurate email addresses and contact details. RoofHyve may mark invitations as failed, expired, duplicate, invalid, or blocked based on system rules, delivery events, or compliance requirements.

7. Confidentiality and Data Handling

Portal information may include confidential business data, personal information, customer records, subscription/revenue information, commission data, pricing, leads, contact details, support records, and system activity. You must keep such information confidential, use it only for authorized RoofHyve business purposes, and not disclose it except as permitted by RoofHyve or required by law.

8. Privacy and Monitoring

RoofHyve may log portal access, referral activity, invitation events, assignment changes, commission-related views, exports/downloads where available, and other portal usage for security, support, audit, compliance, analytics, and operational purposes. Personal information is handled under the RoofHyve Privacy Policy.

9. Employment, Contractor, and Tax Status

These Terms do not create employment, contractor, agency, partnership, joint venture, franchise, or fiduciary status. Your status is governed by your separate written agreement with RoofHyve, if any, and applicable law. If you are an independent contractor or referral partner, you are responsible for your own taxes, licenses, expenses, and legal obligations unless a separate written agreement says otherwise.

10. Prohibited Conduct

Misrepresenting RoofHyve, its pricing, plans, verification practices, integrations, availability, AI features, security, or legal obligations.

Promising a roofer guaranteed revenue, leads, ranking, verification, endorsement, or onboarding approval.

Changing customer records, commission records, or assigned roofer information without authorization.

Using portal information to compete with RoofHyve, solicit RoofHyve customers outside approved activities, or bypass RoofHyve systems.

Uploading malicious content or attempting unauthorized access.

Using referral or contact tools in violation of spam, telemarketing, SMS, privacy, or consumer-protection laws.

11. Suspension and Termination

RoofHyve may suspend or terminate portal access at any time for security risk, misuse, suspected fraud, inaccurate records, violation of these Terms, violation of an applicable agreement, termination of your relationship with RoofHyve, or business/legal reasons. Suspension or termination of portal access does not determine commission rights unless an applicable commission/referral agreement says so.

12. Disclaimers and Limitation of Liability

The portal and its status, reporting, revenue, and commission information are provided “as is” and “as available.” RoofHyve does not guarantee email delivery, invitation acceptance, onboarding completion, commission eligibility, uninterrupted access, error-free reporting, or that displayed data will be complete or final. To the maximum extent permitted by law, RoofHyve is not liable for indirect, incidental, special, consequential, punitive, lost-profit, lost-commission, or lost-opportunity damages arising from portal use.

13. Dispute Resolution

Any dispute between you and RoofHyve arising out of or relating to these Terms or the Sales Rep/CSR Portal will be resolved under the dispute-resolution terms in the RoofHyve Terms of Service, unless a separate signed agreement between you and RoofHyve provides a different dispute-resolution process.
